Terms of Service

Effective Date: March 27, 2026

Welcome to FixHive. These Terms of Service ("Terms") govern your access to and use of the FixHive mobile application, website, and related services (collectively, the "Platform") operated by Hemi Enterprises ("Company," "we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Platform.


1. Acceptance of Terms

By creating an account, downloading the FixHive application, or otherwise accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you meet this age requirement.


2. Description of Service

FixHive is a home repair services marketplace that connects homeowners ("Homeowners" or "Customers") with local service professionals ("Vendors," "Service Providers," or "Pros"). The Platform facilitates the discovery, bidding, scheduling, and payment of home repair and maintenance services, including but not limited to plumbing, electrical, HVAC, roofing, painting, carpentry, and general handyman work.

Key features of the Platform include:

  • Submission and management of service requests by Homeowners
  • Competitive bidding on service requests by Vendors
  • Photo uploads to document service needs and completed work
  • Address and location verification services
  • Push notifications regarding request updates, bids, and messages
  • Secure payment processing through Stripe
  • Vendor profiles, ratings, and service history

FixHive is a marketplace platform, not a service provider. We do not employ, supervise, or control Service Providers. We do not guarantee the quality, safety, legality, or timeliness of any services performed. All service agreements are between the Homeowner and the Vendor directly.


3. User Accounts

3.1 Registration

To use certain features of the Platform, you must create an account by providing accurate, current, and complete information. You agree to update your account information promptly to keep it accurate and complete.

3.2 Account Types

The Platform supports two primary account types:

  • Homeowner accounts: For individuals seeking home repair and maintenance services.
  • Vendor accounts: For service professionals offering home repair and maintenance services. Vendors may be required to provide additional information, including business credentials, service area radius, and payment details.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

3.4 Account Accuracy

You represent and warrant that all information you provide in connection with your account is truthful, accurate, and complete. Providing false or misleading information may result in the suspension or termination of your account.


4. Payment Terms

4.1 Payment Processing

All payments on the Platform are processed through Stripe, a third-party payment processor. By using the Platform's payment features, you agree to Stripe's Terms of Service and Privacy Policy. We do not store your full payment card details on our servers.

4.2 Fees and Charges

Homeowners agree to pay the amounts quoted by Vendors and accepted through the Platform. FixHive may charge service fees or transaction fees, which will be disclosed to you before you confirm a transaction. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.

4.3 Vendor Payouts

Vendors receive payment for completed services through Stripe payouts. Vendors are responsible for providing accurate banking and tax information to Stripe. Payout timing and availability are subject to Stripe's processing schedules and policies. FixHive is not responsible for delays caused by Stripe or your financial institution.

4.4 Taxes

Vendors are solely responsible for determining and fulfilling their tax obligations, including income tax, self-employment tax, and any applicable sales or use taxes. FixHive does not provide tax advice and is not responsible for any Vendor's tax liabilities.

4.5 Disputes and Refunds

If a payment dispute arises between a Homeowner and a Vendor, both parties should first attempt to resolve the issue directly. FixHive may, at its sole discretion, mediate disputes but is not obligated to do so. Refund eligibility is determined on a case-by-case basis in accordance with our refund policies.


5. User Conduct

You agree not to use the Platform to:

  • Violate any applicable local, state, national, or international law or regulation
  • Post or transmit fraudulent, misleading, or deceptive content
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Harass, threaten, abuse, or intimidate other users
  • Upload viruses, malware, or other harmful code
  • Interfere with or disrupt the Platform's servers, networks, or infrastructure
  • Attempt to gain unauthorized access to any part of the Platform or other users' accounts
  • Scrape, crawl, or use automated means to collect data from the Platform without our prior written consent
  • Circumvent the Platform's payment system to avoid fees or pay Vendors outside the Platform for services arranged through FixHive
  • Post false reviews or manipulate the rating system
  • Solicit other users for purposes unrelated to the services offered on the Platform

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates these rules, including removing content, suspending or terminating accounts, and reporting violations to law enforcement.


6. Content and Photos

6.1 User-Generated Content

The Platform allows users to upload photos, text descriptions, reviews, and other content ("User Content"). You retain ownership of your User Content but grant FixHive a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, modify, distribute, and display your User Content in connection with operating and improving the Platform.

6.2 Content Standards

You agree that all User Content you submit will be accurate, not misleading, and will not violate any third party's rights. Photos uploaded to the Platform should accurately depict the condition of the property or the work performed. You must not upload content that is offensive, obscene, defamatory, or otherwise objectionable.

6.3 Content Removal

We reserve the right to remove or modify any User Content that violates these Terms or that we find objectionable, at our sole discretion and without notice. We are not obligated to monitor User Content but may do so at any time.

6.4 Photo Storage

Photos uploaded to the Platform are stored securely in our cloud infrastructure. While we take reasonable measures to protect your content, we do not guarantee that User Content will be preserved indefinitely. You are responsible for maintaining your own backup copies of any important content.


7. Intellectual Property

The Platform, including its design, logos, trademarks, text, graphics, software, and all other content created by FixHive (excluding User Content), is the property of Hemi Enterprises and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform or its content without our prior written consent.

The FixHive name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Hemi Enterprises. You may not use these marks without our prior written permission.


8. Disclaimers

8.1 Platform "As Is"

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

8.2 No Endorsement of Vendors

FIXHIVE DOES NOT ENDORSE, WARRANT, OR GUARANTEE ANY VENDOR, SERVICE, OR WORK PERFORMED THROUGH THE PLATFORM. WE DO NOT VERIFY THE QUALIFICATIONS, LICENSES, INSURANCE, OR BACKGROUND OF SERVICE PROVIDERS BEYOND ANY STATED VERIFICATION PROCESSES. YOU USE THE PLATFORM AND ENGAGE SERVICE PROVIDERS AT YOUR OWN RISK.

8.3 Third-Party Services

The Platform integrates with third-party services, including Stripe for payment processing and push notification services. We are not responsible for the availability, accuracy, or reliability of these third-party services and are not liable for any damages resulting from their use.


9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HEMI ENTERPRISES, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • Your access to or use of (or inability to access or use) the Platform
  • Any conduct or content of any third party on the Platform, including any Vendor or Homeowner
  • Any services obtained through the Platform
  • Any property damage, personal injury, or other harm resulting from services arranged through the Platform
  • Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO FIXHIVE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.


10. Indemnification

You agree to indemnify, defend, and hold harmless Hemi Enterprises, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property, privacy, or property rights; or (d) any claim that your User Content caused damage to a third party.


11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in the Platform. Termination of your account does not relieve you of any obligations to pay fees or charges incurred before termination.

11.2 Termination by Us

We may suspend or terminate your account at any time, with or without cause and with or without notice, if we believe you have violated these Terms, engaged in fraudulent activity, or for any other reason at our sole discretion. Upon termination, your right to use the Platform will immediately cease.

11.3 Effect of Termination

Upon termination, all licenses and rights granted to you under these Terms will immediately terminate. Sections that by their nature should survive termination will survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, indemnification, and dispute resolution.


12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.


13. Dispute Resolution

13.1 Informal Resolution

Before filing any formal legal action, you agree to first attempt to resolve any dispute informally by contacting us. We will attempt to resolve the dispute informally within thirty (30) days of receiving your notice. If the dispute is not resolved within that period, either party may proceed with formal dispute resolution.

13.2 Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof that cannot be resolved informally shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The arbitration shall be conducted in the State of Delaware. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

13.3 Class Action Waiver

YOU AND HEMI ENTERPRISES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

13.4 Exceptions

Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.


14. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on the Platform and updating the "Effective Date" at the top of this page. We may also send you a push notification or email regarding material changes. Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Platform and terminate your account.


15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Hemi Enterprises regarding your use of the Platform and supersede all prior or contemporaneous agreements, communications, and proposals.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Hemi Enterprises.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

15.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, strikes, government actions, or failures of third-party services.
